Terms of Service
These Terms of Service ("Terms") govern your access to and use of Daksend (the "Service"), provided by Singlemonkey Solutions, a sole proprietorship registered in Hyderabad, India ("Singlemonkey", "we", "us"). By installing, accessing, or using Daksend, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service
Daksend is a Google Sheets add-on and companion web dashboard that lets you send bulk WhatsApp messages from data stored in your Google Sheet. We act as a thin productivity layer between your sheet and your existing WhatsApp Business Provider (BSP) — MSG91, Gupshup, Meta Cloud, Interakt, or WATI. We do not deliver WhatsApp messages ourselves; your BSP does that. Daksend's role is to read your sheet, format your messages, hand them off to your BSP, and write delivery status back to your sheet.
2. Eligibility
To use Daksend you must:
- Be at least 18 years old (or the age of majority in your jurisdiction).
- Use Daksend for business purposes consistent with applicable law and the WhatsApp Business Policy.
- Have an active account with a supported WhatsApp Business Provider that is authorized to send template messages on the WhatsApp Business Account ("WABA") you'll use.
- Have lawful authority to send WhatsApp messages to the recipients in your sheet — typically meaning explicit opt-in consent or a legitimate prior business relationship as defined by Meta's policies.
- Not be located in, or use Daksend on behalf of users in, a country subject to embargo by India or the United States.
3. Your account
You're responsible for:
- Account security. Keep your Google account password and two-factor authentication current. Notify us immediately at support@daksend.com if you suspect unauthorized access.
- Provider credentials. When you connect a WhatsApp provider, you provide credentials (e.g., MSG91 authkey) that grant Daksend the ability to send messages on your behalf. You are responsible for revoking those credentials with your provider if you stop using Daksend.
- Workspace members. If you invite team members and grant them roles (Owner, Member), you're responsible for their actions in your workspace.
- Recipient data. Phone numbers and personalization data you upload to your sheet are yours; you warrant you have the legal right to use them.
4. Acceptable use
You agree not to use Daksend to:
- Send spam, unsolicited messages, or messages to recipients who have not granted appropriate consent under applicable law and the WhatsApp Business Policy.
- Send messages that violate the law, infringe third-party rights, or are deceptive, fraudulent, defamatory, harassing, hateful, or sexually explicit.
- Send messages on behalf of regulated industries (gambling, controlled substances, weapons, financial scams, multi-level marketing of dubious legitimacy) without the appropriate licenses, disclosures, and Meta-approved templates.
- Submit AUTHENTICATION-category templates without the appropriate regulatory authority and Meta approval to send one-time passwords or similar codes.
- Bypass Daksend's rate limits, retry mechanisms, or opt-out enforcement.
- Reverse-engineer, decompile, scrape, or attempt to extract source code, except to the extent permitted by applicable law.
- Attempt to access another customer's workspace, data, or credentials.
- Use Daksend to test, train, or develop a competing product.
- Interfere with or disrupt the Service or its underlying infrastructure (e.g., denial-of-service attacks, malformed payload abuse).
We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe you are violating this section. Repeat violations or violations that expose us to legal liability or platform sanctions will result in permanent termination.
5. WhatsApp Business Policy compliance
Your use of Daksend requires you to comply with all of the following at all times:
- The WhatsApp Business Messaging Policy
- The WhatsApp Business Solution Terms
- The WhatsApp Commerce Policy (if you sell products via WhatsApp)
- Your chosen BSP's terms of service (e.g., MSG91, Gupshup)
- All applicable telecommunications, data protection, and consumer protection laws in your jurisdiction and the jurisdiction of your recipients
Non-compliance can result in your WABA being disabled by Meta, your BSP suspending your account, or both. Daksend has no ability to restore a Meta-disabled WABA — we are not a BSP and do not have direct relationships with Meta on your behalf.
6. Your WhatsApp provider relationship
Your relationship with your WhatsApp Business Provider is separate from your relationship with Daksend. The BSP charges you directly for messages, manages your WABA, handles template approvals, and operates the WhatsApp Business API integration. Daksend is not party to your contract with the BSP.
Specifically:
- Per-message costs are billed by your BSP, not by Daksend.
- If your BSP suspends your account or rate-limits your sends, Daksend cannot override that.
- If a template is rejected by Meta, that's a Meta decision communicated through your BSP. Daksend surfaces the rejection but cannot appeal it on your behalf.
- If your BSP changes its API or pricing, we'll work to maintain compatibility but cannot guarantee continuous support of every BSP feature.
7. Fees and billing
Daksend is offered on a flat monthly subscription basis. Specific plan pricing is available on our website or by contacting support@daksend.com. The Daksend subscription is separate from any per-message costs charged by your WhatsApp Business Provider.
- Billing cycle. Monthly, in advance. The first cycle begins on your subscription start date.
- Payment. Via the payment method you provide. Failed payments may result in suspension of paid features after a 7-day grace period.
- Refunds. Pro-rated refunds for unused time are available on cancellation within the first 14 days of any paid plan. After 14 days, fees are non-refundable.
- Price changes. We may change subscription pricing with 30 days' notice. Existing subscribers' pricing is locked for the current billing cycle.
- Taxes. Fees are exclusive of GST and other applicable taxes; you are responsible for paying any taxes due.
During the early-access / pre-launch period, Daksend may be offered free of charge or at promotional pricing. We'll notify you in writing at least 30 days before transitioning to a paid subscription.
8. Privacy and data
Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Intellectual property
Our IP. Daksend, including the add-on, the dashboard, the API, the documentation, and all software and content we provide, is owned by Singlemonkey Solutions and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use Daksend for your business purposes during your subscription. We don't transfer ownership of any of our IP to you.
Your content. You retain all rights to the content you upload to Daksend (sheet contents, contact lists, message templates you create). By using Daksend, you grant us a limited license to access, store, process, and transmit your content solely as necessary to provide the Service.
Feedback. If you send us feedback, suggestions, or improvement ideas, we may use them without obligation or compensation to you. (We'll still always credit you privately if you ask.)
10. Warranties and disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage.
Specifically, we do not warrant that:
- The Service will be uninterrupted, error-free, or available at any particular uptime percentage. (We target 99.5% but make no contractual commitment at this stage of the product.)
- Messages sent through Daksend will always be delivered, read, or responded to. Delivery depends on your BSP, Meta's infrastructure, recipient device state, and many other factors outside our control.
- Daksend will be compatible with all future versions of Google Sheets, the Apps Script runtime, or your BSP's API.
- Defects in the Service will be corrected on any specific timeline.
You use Daksend at your own risk.
11. Limitation of liability
To the maximum extent permitted by applicable law:
- In no event will Singlemonkey Solutions be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill.
- Singlemonkey's total aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (a) the fees you paid Singlemonkey in the three months immediately preceding the event giving rise to the claim, or (b) ₹10,000 INR.
- This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if Singlemonkey has been advised of the possibility of such damages.
Some jurisdictions don't allow the exclusion of certain warranties or limitation of liability for consequential damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Singlemonkey Solutions, its directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of Daksend in violation of these Terms or any applicable law.
- Your violation of the WhatsApp Business Policy or your BSP's terms.
- Messages you send through Daksend that violate any third party's rights or any law (including consumer-protection, privacy, or data-protection laws).
- Your content uploaded to Daksend.
- Any disputes between you and a recipient of your messages.
We'll notify you promptly of any claim subject to indemnification and may participate in the defense at our own expense. You won't settle any indemnified claim in a way that admits fault on our behalf or imposes obligations on us without our prior written consent.
13. Termination
13.1 By you
You may terminate your subscription and delete your workspace at any time via the dashboard or by emailing support@daksend.com. Termination takes effect at the end of your current billing cycle. Within 30 days of termination, we will delete your workspace data per our Privacy Policy, except for legally required records (audit logs, opt-out compliance records).
13.2 By us
We may suspend or terminate your access immediately, without prior notice, if:
- You materially breach these Terms (including the acceptable-use section).
- You fail to pay fees and don't cure within 7 days of notice.
- We're required to do so by law or by a court order.
- We reasonably determine that your use of Daksend exposes us, our other customers, or Meta/WhatsApp to legal liability or platform sanctions.
For non-cause termination (e.g., we discontinue the Service), we'll give you at least 60 days' notice and pro-rate any unused subscription fees.
13.3 Survival
Sections 9 (IP), 10 (Warranties), 11 (Liability), 12 (Indemnification), 15 (Governing law), and any other provisions that by their nature should survive termination, will survive.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. For material changes, we'll notify you by email at least 30 days before they take effect. If you keep using Daksend after the effective date, you accept the updated Terms. If you don't accept them, you can terminate your subscription per Section 13.1.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
Before filing a lawsuit, you agree to first try to resolve any dispute informally by contacting us at support@daksend.com. We'll respond within 14 days and try to resolve the dispute in good faith.
